ESOP Taxation Startup Employee 2026: Budget 2024 Perquisite Tax, Exercise aur Sale Pe Kya Lagega?

ESOP Income Tax 22 October 2026

Startup mein kaam karte ho aur ESOP (Employee Stock Option Plan) mila hai? Congratulations — lekin tax implications samajhna zaroori hai. ESOPs par do baar tax lagta hai: pehle exercise par (perquisite as salary income) aur phir sale par (capital gains). Agar DPIIT-registered startup mein ho toh Budget 2020 ne ek special deferral benefit diya tha — uski conditions bhi samjho.

ESOP Tax Timeline: Grant → Vesting → Exercise (Perquisite tax lagta hai — FMV minus exercise price) → Sale (Capital gains — STCG ya LTCG). Startup employees ke liye deferral: tax ka payment exercise nahi, bechne ya company chhod ne ya 5 saal — jo pehle ho.

ESOP Lifecycle aur Tax Points

  • 1Grant: Company ne ESOP diya — koi tax nahi abhi
  • 2Vesting: Right earned — koi tax nahi (sirf conditional right)
  • 3Exercise: Shares actually buy kiye — PERQUISITE TAX: (FMV on exercise date − Exercise price) = Taxable income as salary
  • 4Sale: Shares bech diye — CAPITAL GAINS TAX: Sale price − FMV at exercise = STCG (under 12 months) ya LTCG (12+ months)

Employer deducts TDS on perquisite value at exercise time

Perquisite Tax at Exercise — Detailed Calculation

Exercise ke time jo tax lagta hai woh salary income ke roop mein treat hota hai:

  • Perquisite value = FMV (Fair Market Value) on exercise date − Exercise price per share
  • FMV for listed shares: Closing price on exercise date (average of NSE/BSE)
  • FMV for unlisted shares: Category I Merchant Banker ki valuation report required
  • Yeh perquisite value aapki gross salary mein add hogi — income slab ke according tax
  • Employer Form 16 mein yeh show karega aur TDS bhi katega

ESOP Perquisite Tax Example

DetailAmount
Number of shares exercised1,000 shares
Exercise price (option price)Rs 100 per share
FMV on exercise dateRs 500 per share
Perquisite value per shareRs 500 − Rs 100 = Rs 400
Total perquisiteRs 400 × 1,000 = Rs 4,00,000
Tax (30% slab)Rs 1,20,000 (approx)

Cost basis for capital gains calculation = Rs 500 (FMV at exercise)

Capital Gains at Sale

  • Cost of acquisition: FMV at exercise date (perquisite value already taxed)
  • STCG (Short Term): Shares held less than 12 months after exercise → taxable at income slab rate (unlisted) or 20% (listed, post Budget 2024)
  • LTCG (Long Term): 12+ months → unlisted: 12.5% without indexation (Budget 2024 change) | listed: 12.5% over Rs 1.25 lakh annual (Budget 2024)

Budget 2024 Capital Gains Changes: LTCG rate for unlisted shares changed to 12.5% (without indexation) effective July 2024. Pehle 20% with indexation tha. Listed shares LTCG: 12.5% over Rs 1.25 lakh (increased from Rs 1 lakh threshold). Holding period for unlisted shares LTCG: 24 months (2 years). Tax planning mein yeh new rates use karein.

Startup Employee Deferral Benefit — Budget 2020

DPIIT-recognized startups mein kaam karne wale employees ko ek important relief milti hai:

  • Deferral condition: Exercise par immediate perquisite tax pay nahi karna — defer kar sakte hain
  • Tax payment trigger: Whichever is earliest — (a) shares sell karo, ya (b) company chhod do, ya (c) exercise se 5 saal baad
  • Why important: Unlisted startup shares exercise ke time sell nahi ki ja sakti — isliye tax ke liye liquidity nahi hoti. Deferral is problem solve karta hai
  • Condition for startup: Company ko DPIIT-recognized startup hona chahiye — section 80-IAC ke under eligible

Kab Deferral Nahi Milega?

  • Company DPIIT-recognized startup nahi hai
  • Listed company hai
  • Non-statutory ESOPs ya SARs (Stock Appreciation Rights) — sirf ESOPs/RSUs covered
  • Grant date se bada startup nahi tha — timing important hai

RSU (Restricted Stock Units) vs ESOP

Bahut companies RSUs deti hain — ESOPs nahi. Tax treatment similar hai lekin differences hain:

  • RSU mein koi exercise price nahi — free mein shares milte hain vesting par
  • RSU perquisite = Full FMV on vesting date (100% taxable as salary)
  • Startup deferral benefit RSUs par bhi apply ho sakta hai — case-by-case basis

Employer Responsibilities

  • Exercise ke time perquisite value calculate karke Form 16 mein show karein
  • TDS Section 192 under deduct karein
  • Quarterly TDS return (Form 24Q) mein ESOP perquisite separately report karein
  • Valuation report (unlisted companies) maintain karein
